 Article I - Name

 

Section 1.1 Name. Imex Logistics, Inc.

            

Section 1.2 Fictitious Names. ‘IMEX’, ‘Imports & Exports’, and ‘IMEX Inc.’.

 

 

Article II - Purpose

 

Section 2.1 Purpose. IMEX Logistics is a transport business based in the city of Los Santos with the objective of delivering goods to different businesses throughout the city and county in the state of San Andreas since April 07, 2019.

 

Section 2.2 Services. Supply chain logistics operating all seven days a week to deliver goods to any type of business that requests them.

 

Section 2.3 Objective. Maximize our efficiency in Los Santos by delivering good, quick, and reliable service. We also focus on the wellbeing of our employees and the demonstration of high regard for the environment. Our aim is to become a sustainable company that is able to reduce our carbon emissions and help the city of Los Santos. Our continuous improvement and implementations help us collaborate with our ecosystem.

 

 

Article III - Employees

 

Section 3.1 Drivers. Imex Logistics has both trainee drivers and normal drivers. They are classified differently once they pass the trainee stage by surpassing 25 deliveries. Drivers from IMEX are considered at-will employees.

 

  1. Freight Drivers

    1. OTR Drivers - Class A CDL (1000+ deliveries)

    2. Regional Freight Driver - Class A CDL (500 deliveries to 1000)

    3. Local Freight Driver  - Class B CDL (250 deliveries to 500)

  2. Delivery Drivers

    1. Senior Delivery Driver - Class B CDL (100 deliveries to 250)

    2. Junior Delivery Driver - Class A CDL (25 deliveries to 100)

    3. Driver in Training - Class A CDL (Training stage)

 

Section 3.2 Supervisors. IMEX is to have a team of a maximum of three supervisors per terminal. This decision can be overruled by any member of the Management team or above with appropriate reasoning. To be eligible to become a supervisor a minimum of 250 deliveries must be obtained (Supervisors from a date before the amendment of these bylaws may remain as supervisors). Supervisors should oversee drivers in the field. Supervisors are allowed to issue punishments (Article X) such as Strike 1 or Strike 2, even a suspension if recommended by a Management member (Article XIII).

 

 

Article IV - Elections

 

Section 4.1 Types of Elections. IMEX has two types of elections:

 

  1. Company Elections.

Company elections are carried out by members of the Board of Directors (Article XII) or Shareholders (Article XVI) from IMEX. These elections concern expenses and expansions within the company. In special cases elections can be used to decide the removal or punishment of a Management (Article XIII) member from IMEX.

 

  1. Management Elections.

Management elections are carried out by all members of the Management (Article XIII) and Board of Directors (Article XII). These elections decide promotions of employees (Article XIV) and Workers (Article III). In special cases elections can be used to decide the removal or punishment of a Supervisor from IMEX.

 

Section 4.2 Points. Board of Directors, Shareholders, and Management members have different points depending on their position or type of election (Company Elections & Management Elections).

 

  1. Company Elections.

    1. Shareholders – Based on percentage owned within IMEX Logistics.

 

  1. Management Elections

    1. Board of Directors – 1 point

    2. Shareholders – 1 point

    3. Management members – 1 point

 

 

Article V - Meetings

 

Section 5.1 Weekly meeting. Weekly meetings are not obligatory to attend. Weekly meetings can be organized by a Supervisor and above from IMEX. Suggestions can be issued during these times for discussion and any type of issue can be addressed to the respective individual.

 

 

Article VI - Behavior

 

Section 6.1 Behavior. An employee of IMEX must respect all colleagues at all times. It is important to keep a healthy work environment for everyone.  Punishments (Article X) will be issued to any employee that fails to demonstrate a good attitude towards their peers. Any affiliate to IMEX should always be respectful with all stakeholders. Behavior is to be enforced by Supervisors and above by the use of punishments (Article X) if company expectations are not met.

 

 

Article VII – Dress Code

 

Section 7.1 Dress Code. This dress code only applies to employees from IMEX that are part of the Management  dress code should be worn during working hours throughout the whole year.

 

  1. Female dress code. Women are to wear a tailored suit (skirt, pants or dress and suit jacket) of professional type.

    1. Neutral/Classic colors are obligatory.

    2. Jewelry permitted (discreet)

    3. Coats/winter-jackets and caps must be kept in the lockers.

    4. Make-up must be natural and discreet.

    5. Adapted hairstyle that contributes decisively to your wellbeing.

    6. Scarfs or neck-ties are permitted

    7. Wearing a belt is compulsory when pants are fitted with belt loops.

    8. Classic low fronted shoes, elegant.

 

  1. Male dress code. Men are to wear a tailored suit (pants and jacket) in a classic/neutral color (navy, gray, black, beige, etc.).

    1. Coats/winter-jackets and caps must be kept in the lockers.

    2. Haircuts should be short, styled and well kept.

    3. Beards, goatees, and moustaches are permitted.

    4. Suit jackets must be always worn and preferably buttoned.

    5. Shirts with short or long sleeves must be of a discreet color.

    6. Shoes must be classic city shoes, elegant, and of a plain color.

 

Section 7.2 Uniform. IMEX uniform is assigned to both terminals. Drivers must always wear the uniform whilst delivering. Both male and female carry the same uniform appearance and should wear it for their safety and uniformity:

 

  1. Female uniform

    1. Dark grey t-shirt - IMEX issued

    2. Stab proof vest (red) - IMEX issued

    3. Grey with red cargo pants - IMEX issued

    4. Dark boots with steel toe caps - IMEX issued

    5. Gloves (optional) - IMEX issued

 

  1. Male uniform

    1. Dark grey t-shirt - IMEX issued

    2. Stab proof vest (red) -  IMEX issued

    3. Grey with red cargo pants/black shorts - IMEX issued

    4. Dark boots with steel toe caps - IMEX issued

    5. Gloves (optional) - IMEX issued

 

 

Article VIII – Company Assets

 

Section 8.1 Assets. Company assets are considered all properties and items that are registered and belong to IMEX or shareholders. This includes buildings, yards, vehicles, and equipment.

 

 

Article IX – Recruitment

 

Section 9.1 Recruitment Process. The recruitment process in IMEX consists of employing other individuals within the Company. The recruitment can be handled by any Management member or above in absence of a Human Resources employee.

 

Section 9.2 Pardoning. In the case of permanent removal from IMEX - by being fired and banned from joining again - an individual is allowed to appeal their ban to the company by sending a letter to members of the Management (Article XIII) or above.

 

 

Article X – Punishments

 

Section 10.1 Types of Punishments. Punishments are issued to employees that have shown unprofessional portrayal while working actively with IMEX. The punishments can be issued by Supervisors and above. Supervisors cannot decide to fire an employee unless approved by a Management member (Article XIII) or above. Management members can also be punished by the Board of Directors. The types of punishments within IMEX are the following:

 

  1. Strikes (up to 2 strikes per Employee)

    1. Can be issued by Supervisors and above.

  2. Suspensions

    1. Can be issued by Supervisors and above.

  3. Termination – three day notice required

    1. Can be issued by Supervisors with Management's (Article XIII) approval.

  4. Termination effective immediately

    1. Can be issued by Management (Article XIII) to Supervisor or below.

 

 

Article XI - Offices

 

Section 11.1 Offices. IMEX has a total of two offices in the city of Los Santos. Both the main headquarters and a branch office. These two facilities conduct day to day operations of IMEX.

 

Section 11.2 Headquarters. The main headquarters of IMEX is located in Chum Street, Plaice Place, city of Los Santos, San Andreas. This place is also called Plaice Place Terminal (PPT)

 

Section 11.3 Branch Office. The branch office of IMEX is located in Popular Street, La Mesa, city of Los Santos, San Andreas. This place is also called La Mesa Terminal (LMT).

 

 

Article XII – Board of Directors

 

Section 12.1 Board of Directors. The Board of Directors (Board, Directors) of IMEX is a board appointed by the Shareholders of the company. They are to oversee the daily management operations of IMEX and deal with any legal issues that arise. The Board of Directors have the right to terminate any employee with a three day notice in advance.

 

The board is responsible as well for changing operation methods or implementing new ideas into the company under their own discretion. A vote must be conducted prior to the implementation.

 

The Board of Directors is divided into three positions (Chairman, Vice-Chairman, and Director). There is no limit on how many Directors there may be, and it is not compulsory for an individual to be a Stockholder to become a member of the Board of Directors.

 

 

Article XIII – Management

 

Section 13.1 Management. Management in IMEX is dedicated to oversee specific tasks within the Company. Their main role is to lead their area or help develop new strategies to make IMEX more efficient. To be eligible to have a position within the Management team an employee needs at least 2 months of experience within BTG. This can be disregarded if a member of the Board of Directors selects someone to come into the Management team.

 

Positions

  1. (1) The Chief Executive Officer (CEO) is the person in charge of Management.

  2. (1) The Chief Operating Officer (COO) is in charge of all company operations and must regulate the company to ensure it is working in an efficient manner at all times.

  3. (1) The Chief Strategy Officer (CSO) assists the CEO and COO with any company related activity.

  4. (1) Regional Manager (RM) Regularly checks the entire region/county which has a number of IMEX terminals.

  5. (2) Operations Manager (OM) (LMT/PPT) leads the whole supervisor team of their assigned area (LMT/PPT).

  6. (2) Assistant Operations Manager (AOM) (LMT/PPT) assists the OM with the Supervisors team of their assigned area.

 

 

Article XIV – Company Regulations

 

Section 14.1 Regulations. Company regulations are safety protocols that are provided by IMEX. They must be followed and read carefully until fully understood. These also provide a set of simple rules that must be followed by all employees of IMEX.

 

 

Article XV – Hierarchy

 

Section 15.1 Company Hierarchy. IMEX has a company hierarchy that is divided into four parts. The hierarchy is the Board of Directors (Article XII), Management (Article XIII), Supervisors, and then normal employees.

 

 

Article XVI - Shareholders

 

Section 16.1 Shareholder. The Shareholders of IMEX are in charge of owning the Company and funding the expenses it brings. To become a certified shareholder you have to own more than 7% of the company.

 

 

Article XVII – Paycheck & Bonuses

 

 Section 17.1 Payment. Payment is divided into many parts. These payments shall be amended to the respective members of the Management or Senior Management team within IMEX Logistics. The payments should be calculated to give the appropriate percentage to the member after Monday 00:00 hours once the prior week has finished. This task should be executed by the assigned financial representative in IMEX Logistics.

 

  1. Drivers

    1. Make their own pay as they deliver with company vehicles.

  2. Supervisors

    1. Make their own pay as they deliver with company vehicles.

  3. Assistant Operations Manager (MANAGEMENT)

    1. 3% of assigned terminal income.

  4. Operations Manager (MANAGEMENT)

    1. 4% of assigned terminal income.

  5. Regional Manager (MANAGEMENT)

    1. 4% of all regional terminals.

  6. Chief Executive Officer (SENIOR MANAGEMENT)

    1. 8% of all state wide terminals.

  7. Chief Operating Officer (SENIOR MANAGEMENT)

    1. 6% of all state wide terminals.
  8. Chief Strategy Officer (SENIOR MANAGEMENT)

    1. 5% of all state wide terminals.

 

 

 

Section 17.2 Bonuses. There are two different bonuses available.

  1. Employee of the month bonus

    1. 5% of the last week of the assigned terminal’s income.

  2. Most efficient terminal bonus which goes to OM and AOM.

    1. 6% for the OM and 5% for AOM out of the total weekly income from the company.

 

                                                  Article XVIII – Absences

 Section 17.1 Absences. IMEX Logistics offers two types of absences to our employees (except IMEX trainees). Failure to request absence and being over 1 (one) week absent at IMEX is going to get you removed from the company. The following types of absences in IMEX are:

  1. Part Absence

    1. Absence should be requested if you find yourself busy, however still have some little time to dedicate to keep on working for the company. 

  2. Full Absence

    1. Absence in case of definite leave, you will be allowed not to show up for a certain period of time. Maximum of 3 (three) weeks.

AT-WILL Employment Agreement

Amended 12/AUG/2019

 

 

 

Recitals

  • Employee possesses a valid trucking license.  
  • Employee agrees to respect other employee's/people's privacy, their physical space and belongings; and respect for different viewpoints, philosophies, physical ability, beliefs and personality. And follow all company regulations.
  • Employee understands that false accusations to cause harm to another will not be tolerated, and if found willfully committing such then appropriate actions will be taken such as suspension or termination from employment.
  • Employee understand that the Busch Transport Group is committed to providing a safe environment for all its employees free from discrimination on any ground and from harassment at work including sexual harassment. The Busch Transport Group will operate a zero tolerance policy for any form of sexual harassment in the workplace, treat all incidents seriously and promptly investigate all allegations of sexual harassment. Any person found to have sexually harassed another will face disciplinary action, up to and including dismissal from employment. All complaints of sexual harassment will be taken seriously and treated with respect and in confidence. No one will be victimised for making such a complaint.
  • Employee agrees to return the vehicle once finished with its duties.
  • Employee agrees to asume full responsibility of rented equipment, and to return the equipment in good condition and repair.
  • Employee also agrees that the equipment shall remain in their immediate possession and shall not be sub leased or permitted to be used by any other person or entity. 
  • Employee will not remove any tag or nameplate showing the ownership of IMEX Logistics.
  • Employee agrees to follow all traffic laws, and operate the company provided vehicle in a  safe manner.
  • Employee agrees to be fully liable for the replacement of any part of the rental equipment and its attachments which are, lost, stolen, missing, broken, or damaged from any costs whatsoever including without limitation, acts of God, riots, fire, theft, acts of other parties, and or other causes over which the employee may not have control.
  • Employee is at least 18 years of age.
  • Employee is legally allowed to stay in the United States.
  • Employees may not disclose any information about payments and percentages about the company.
  • As a condition of employment, the undersigned employee gives consent to IMEX Logistics or a representative thereof to obtain a criminal record check on their behalf.

 

In consideration of the mutual promises contained in this agreement, involved members agree as follows

 

 

1.  Purpose

This document states that the employee has agreed to be employed under the Busch Transport Group.

 

2.  Duration of Agreement

The term of this document/agreement will last until the employee has resigned from the company. Meaning he has agreed to leave the company by his own decision. Or has been fired from the company by a member of the management or above. 

 

3.   Covenant Not to Compete

 You agree that at no time during the term of your employment with IMEX Logistics will you engage in any business activity which is competitive with the IMEX Logistics nor work for any company which competes with the IMEX Logistics.  During the term of your employment, You agree not to solicit any employee or independent contractor of IMEX Logistics on behalf of any other business enterprise, nor shall you induce any employee or independent contractor associated with IMEX Logistics to terminate or breach an employment, contractual or other relationship with IMEX Logistics.

 

4.   Partaking in any sort of conspiracy

Taking any sort of conspiring directly impacting operations or acting in a way which subverts operations is a violation of the employee agreement and cause for termination.

 

 

5.   Non-Solicitation

During the Employment Period and for three (3) months thereafter, the employee hereby agrees not to, directly or indirectly, solicit or assist any other company employee in soliciting any employee of the IMEX Logistics, Subsidiary, or any of its affiliates to perform services for any entity (other than the IMEX Logistics, Subsidiary, or its affiliates), attempt to induce any such employee to leave the employ of the IMEX Logistics, Subsidiaries, or its affiliates, or hire or engage on behalf of himself or any other Person any employee of the Company or anyone who was employed by the Company during the six-month period preceding such hiring or engagement. An individual’s response to a broad and general advertisement or solicitation not specifically targeting or intending to target employees of the Company, its subsidiaries or any of affiliates shall not be deemed a violation of this Section 5.

NEWS

REBRAND for IMEX - 07/26/2020

We are pleased to announce that we'll be entering a rebranding stage. With that being said, Busch Transport Group is now being renamed to IMEX Logistics. IMEX stands for Import and Export. The name represents the logistical operations of the company, and will derivate to easing the marketability going forward.
